These Terms and Conditions ("Agreement") govern your access to and use our software for syncing Stripe transactions to QuickBooks ("Software") provided by clickbooks.io ("Provider"). By accessing or using the Software, you agree to be bound by this Agreement. If you do not agree with any part of this Agreement, you must not use the Software.
  1. 1. License and Use
  2. a. License Grant: Provider grants you a non-exclusive, non-transferable license to access and use the Software for the purpose of syncing Stripe transactions to QuickBooks. b. Restrictions: You shall not: i. Modify, adapt, or create derivative works of the Software. ii. Reverse engineer, decompile, or disassemble the Software. iii. Use the Software to infringe upon the intellectual property rights of others. iv. Use the Software for any illegal, unauthorized, or fraudulent activities.
  3. 2. Data Privacy and Security
  4. a. Data Collection: The Software collects and store transactions data from your Stripe and QuickBooks accounts to facilitate synchronization.
  5. b. Data Handling: Provider shall handle the data in accordance with its privacy policy and applicable data protection laws.
  6. c. Security: Provider will implement reasonable security measures to protect the data from unauthorized access or disclosure.
  7. 3. Intellectual Property
  8. a. Ownership: The Software, including all intellectual property rights, remains the exclusive property of Provider.
  9. b. Feedback: You may provide suggestions, feedback, or ideas regarding the Software. Provider may use, modify, or incorporate such feedback without any obligation to compensate you.
  10. 4. Fees and Payments
  11. a. Pricing: The pricing for using the Software will be specified by Provider and is subject to change upon notice.
  12. b. Payment Terms: You agree to pay all applicable fees as per the agreed payment terms. Failure to pay may result in the suspension or termination of your access to the Software.
  13. 5. Support and Maintenance
  14. a. Support: Provider will provide reasonable technical support for the Software during the subscription period.
  15. b. Maintenance: Provider may perform maintenance or updates to the Software, which may result in temporary unavailability. Provider will make reasonable efforts to minimize disruptions.
  16. 6. Limitation of Liability
  17. a. Disclaimer: The Software is provided on an "as is" basis without any warranties, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
  18. b. Limitation: Provider shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or in connection with the use of the Software.
  19. 7. Termination
  20. a. Termination by You: You may terminate this Agreement by discontinuing the use of the Software and providing written notice to Provider.
  21. b. Termination by Provider: Provider may terminate this Agreement and your access to the Software for any reason upon written notice.
  22. 8. Governing Law and Jurisdiction
  23. a. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of Ontario, Canada.
  24. b. Jurisdiction: Any disputes arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.
  25. 9. Amendments
  26. a. Provider may update or modify this Agreement at any time. Any changes will be effective upon posting the updated Agreement on the Provider's website or notifying you directly.
  27. 10. Entire Agreement
  28. This Agreement constitutes the entire understanding between you and Provider regarding the use of the Software and supersedes any prior agreements or understandings.
By using our Software for syncing Stripe transactions to QuickBooks, you acknowledge that you have read, understood, and agreed to be bound by these Terms and Conditions.
